Are there any requirements regarding the number or status of officers when incorporating a stock company in Japan? Also, can a foreigner who does not have a long term residency status in Japan be appointed as a director?

Foreign nationals residing abroad can also be directors of Japanese stock companies. In principle, there is no upper limit on the number of directors, if at least one. In addition, there are disqualification requirements for directors, such as being a minor under 15 years of age or a person subject to criminal penalties. Thus, in general, it is unlikely to fall under any of these cases.

However, when opening bank accounts or obtaining licenses and permits after establishing a base, there may be problems with creditworthiness and standards for screening for licenses and permits if all directors are located overseas. Therefore, it is recommended to prepare a flexible plan for the number of directors and their arrangements.
